These Terms and Conditions ("Terms") govern your access to and use of Eka Agent ("Service"), operated by Fedna Research LLP ("Company", "we", "us", or "our"), a limited liability partnership registered in India.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Definitions

"Eka Agent" or "Service" refers to the AI-powered business assistant platform accessible at ekaagent.com and its associated applications, including AI phone call answering, WhatsApp messaging, and Instagram DM handling.

"User" or "you" refers to any individual or business entity that registers for or uses the Service.

"Account" refers to the account created by you upon registration on the platform.

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use this Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To use the Service, you must register using a valid phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

4. Services Provided

Eka Agent provides the following services:

  • AI-powered phone call answering with a dedicated phone number
  • Automated WhatsApp message handling via your connected WhatsApp Business account
  • Automated Instagram DM handling via your connected Instagram Business page
  • Call forwarding and transfer to your personal phone number
  • Lead qualification and customer inquiry handling
  • Conversational AI setup and training through natural language

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Use the Service to send spam, unsolicited messages, or harass any person
  • Attempt to gain unauthorised access to the Service or its systems
  • Use the Service to impersonate any person or entity
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any fraudulent or deceptive purpose
  • Reverse-engineer, decompile, or disassemble any part of the Service

6. Payments and Billing

Certain features of the Service may require payment. All payments are processed through Razorpay, a third-party payment gateway. By making a payment, you agree to Razorpay's terms of service. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

We reserve the right to change our pricing at any time. Any changes will be communicated to you in advance and will apply to subsequent billing cycles.

7. Free Trial and Free Phone Number

We may offer a free trial period and/or a free AI phone number to new users. The terms of any free trial, including duration and features available, will be specified at the time of sign-up. We reserve the right to modify or discontinue free trials at any time.

8. Intellectual Property

The Service, including its design, logos, software, content, and all related intellectual property, is owned by Fedna Research LLP. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works of any part of the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, storage, and processing of your data as described in the Privacy Policy.

10. Third-Party Integrations

The Service integrates with third-party platforms including WhatsApp (Meta), Instagram (Meta), and telephony providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for any changes, outages, or issues caused by third-party platforms.

11. AI-Generated Content

The Service uses artificial intelligence to generate responses on your behalf. While we strive for accuracy, we do not guarantee that AI-generated responses will be error-free, complete, or suitable for your specific business needs. You are responsible for reviewing and configuring your AI agent's behaviour and for any consequences of AI-generated communications sent on your behalf.

12. Service Availability

We strive to maintain 24/7 availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons. We will make reasonable efforts to notify you of planned downtime in advance.

13. Limitation of Liability

To the maximum extent permitted by law, Fedna Research LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Fedna Research LLP, its partners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us at legal@fednaresearch.com. Upon termination, your right to use the Service ceases immediately. Any data associated with your account may be deleted after termination.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
